Creator & Seller Agreement

This Creator & Seller Agreement applies if you list or sell products through the undef games marketplace, operated by MindTenet™ LLC (“Undef”, “we”). It’s part of, and incorporates, our Terms of Service. “You” means the seller.

1. Eligibility and account

You must have an account in good standing, complete any required identity and tax verification, and onboard with our payments partner (Stripe Connect) before receiving payouts. You are responsible for your account and for anyone acting for your seller group.

2. You are the seller

For products you list, you are the seller and provider of the product to buyers. Undef operates the platform — listing, delivery, content protection, payment processing, and support tooling — and is not the author or owner of your product.

3. License you grant us

You grant Undef a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, protect (including watermarking and personalization), market, demo, and deliver your product and its media to operate the marketplace and fulfil buyer entitlements. You keep ownership of your product.

4. Your content and warranties

You represent and warrant that you own or have all rights to sell your product and grant the licenses buyers receive; that it does not infringe others’ rights or violate law; that its description, media, and any ratings or disclosures are accurate; and that it complies with our Acceptable Use Policy. You must not list prohibited content.

5. Pricing, terms, and the platform minimum

You set your price and product-specific terms, including any refund terms — provided they meet or exceed the minimums in our Refund Policy and comply with law. Buyers always receive at least the platform minimum and their statutory rights.

6. Fees, revenue share, and payouts

We retain a revenue share on sales, disclosed to you, and pay your remaining earnings through Stripe Connect, subject to minimum payout thresholds, currency, holds for disputes or suspected fraud, and applicable law. You are responsible for your own taxes on your earnings; we may collect tax information and issue tax forms where required.

7. Refunds, chargebacks, and clawbacks

Refunds are handled under the Refund Policy. When a buyer is refunded or a payment is charged back, the related revenue share is clawed back from your earnings or future payouts, and the buyer’s entitlement may be revoked. You are responsible for chargebacks on your sales.

8. Suspension and removal

We may remove listings, withhold or reverse payouts, and suspend or terminate your selling privileges for breach of this Agreement, infringement, fraud, excessive disputes, or to protect buyers and the platform.

9. Indemnity

You will defend and indemnify Undef and its affiliates against claims arising from your products, content, sales, or breach of this Agreement, including intellectual-property and consumer-law claims.

10. Term and changes

This Agreement continues while you sell on the marketplace. Either party may end it by closing the seller relationship; sections on warranties, indemnity, fees already earned, taxes, and liability survive. We may update this Agreement with notice; continued selling means acceptance.
